Terms of Service

Welcome to FlowCore ("we," "our," or "us"), an AI workflow automation platform operated by Innobi. By accessing or using our website, platform, and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Service. Your continued use of the Service constitutes acceptance of any updates or modifications to these Terms.

• "Service" refers to the FlowCore platform, including the web application, API, and all related features and functionality.
• "Lifetime Access" means access to the Service for the duration of the platform's operational life. This does NOT mean perpetual or infinite access. Based on our current infrastructure investments and partner support, we commit to a minimum Lifetime period of 24 months (as of February 2026). In the event of discontinuation, we will provide at least 90 days' notice before termination.
• "Credits" are the usage units that power workflow executions on FlowCore. Founder Credits are a one-time allocation that never expire.
• "Founder" refers to individual natural persons who have purchased one of the Founding Supporter tiers (Sovereign Mind, Intelligence Architect, or Neural Visionary). Companies, organizations, and other legal entities are not eligible for Founder status.
• "Activation Period" is the timeframe within which a paid (non-Founder) user must make a new credit purchase to keep their account active. FlowCore has no monthly subscription fees; instead, to cover data storage and server costs, paid users need to make a purchase within their activation window (Pro: 90 days, Ultra: 180 days). Remaining credits always carry over — nothing expires. Founder accounts are exempt and never require reactivation. Free (trial) accounts are deactivated after the trial period ends.

What You Get:

• Lifetime access to FlowCore platform (for the platform's operational life)
• One-time credit allocation based on your tier (50K / 100K / 250K credits)
• Credits that NEVER expire - use them at your own pace
• Priority support and Founder-exclusive features

Important Clarifications:

• "Lifetime" refers to the platform's operational life, not your personal lifetime or perpetuity
• Based on our current infrastructure investments and partnerships, we commit to a minimum Lifetime period of 24 months (as of February 2026). In an unforeseen scenario, you will be notified at least 90 days in advance
• Our infrastructure is backed by a strategic cloud partnership providing dedicated resources for 2 years. Founders will be kept informed of any material changes to platform sustainability through the Founder Council
• Credits are a ONE-TIME allocation, not a monthly renewal
• Founder status is strictly personal and individual. It may not be purchased by, transferred to, or used on behalf of any company, organization, or legal entity
• We reserve the right to enforce fair usage policies to prevent abuse

How Credits Work:

• Credit consumption varies based on workflow complexity, the nodes used, and AI consumption
• A detailed Cost Breakdown is available in your account under Settings → Billing → Credits
• Credit costs may evolve as we add new capabilities, but we aim to preserve Founder value

Credit Allocation by Tier:

• Sovereign Mind: 250,000 Credits
• Intelligence Architect: 100,000 Credits
• Neural Visionary: 50,000 Credits

Additional Credits:

When your included credits are depleted, you may purchase additional credit packs through our billing system.

Fair Usage Policy:

• Credits are intended solely for your own personal productivity workflows
• Credits may not be used on behalf of, or for the benefit of, any company, organization, or third party
• Credits may not be resold or used to provide services to third parties
• We don't impose strict hourly/daily limits, but reserve the right to investigate unusual patterns (e.g., 1,000+ executions in 1 hour)
• Automated bulk executions that degrade service quality for others may be throttled
• If we need to enforce limits, we'll contact you first to understand your use case

Early Stage Considerations:

During our early months, temporary rate limits or restrictions may be necessary to maintain system stability, ensure a smooth experience for all users, and prevent abuse. These measures help us scale responsibly while protecting the platform for everyone. We appreciate your understanding as we grow together.

Payment Processing:

All payments are processed securely through Stripe. We do not store your credit card information on our servers. By making a purchase, you authorize us to charge your payment method for the total amount.

Refund Policy:

Due to the nature of digital goods and services, all purchases are final and non-refundable. This applies to:

• Founder Tier purchases (Sovereign Mind, Intelligence Architect, Neural Visionary)
• Credit Pack purchases (Pro, Ultra packs)
• Any other digital goods or services offered through the platform

Exceptions:

• Refunds required by applicable local law (e.g., consumer protection laws)
• Duplicate charges or billing errors (contact support within 7 days)
• Service not delivered due to technical failure on our end

EU/EEA Consumers:

Under EU consumer law, you normally have a 14-day withdrawal right. However, by making a purchase and checking the agreement box, you acknowledge that digital content/services are delivered immediately and you expressly waive your 14-day withdrawal right.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Not share your account with others or transfer your Founder status

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Send spam, phishing attempts, or malicious content
• Attempt to bypass usage limits or exploit the credit system
• Interfere with or disrupt the Service or servers
• Scrape, harvest, or collect data without authorization
• Impersonate others or misrepresent your affiliation
• Create workflows that harm, harass, or violate others' rights

Consequences: Violation of these policies may result in immediate account suspension or termination without refund.

By You: You may close your account at any time through the Settings page.

By Us: We may suspend or terminate your account if:

• You violate these Terms or the Acceptable Use Policy
• We detect fraudulent or abusive behavior
• Required by law or legal process

Upon termination, your access to the Service will cease. We are not obligated to retain your data, but we will provide reasonable opportunity to export your content where feasible.

Our Property:

The Service and its original content, features, functionality, and branding are and will remain the exclusive property of Innobi and its licensors. This includes but is not limited to the FlowCore name, logo, UI design, and underlying technology.

Your Property:

The workflows, configurations, and content you create on the Service remain your intellectual property. We claim no ownership over your custom automations and data.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will make reasonable efforts to notify you of material changes.

Discontinuation Notice: Based on our current infrastructure investments and partner support, we commit to a minimum operational period of 24 months (as of February 2026). If we decide to permanently discontinue the Service, we will provide at least 90 days' advance notice to all users via email and in-app notification.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE RELIABILITY, ACCURACY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE SERVICE.

As an early-stage startup, features may evolve, change, or be deprecated. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

IN NO EVENT SHALL FLOWCORE, INNOBI, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts located in Ontario, Canada.

You must be at least 18 years old to use the Service. By using FlowCore, you represent and warrant that you are at least 18 years of age.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect through email and in-app notification.

Your continued use of the Service after any changes constitutes acceptance of the new Terms.
